EXPRESSION OF INTEREST FOR EXTERNAL AUDITORS 

Willow Health Media is Kenya’s first dedicated health and science newsroom, incorporated in 2024 and headquartered at 4th Avenue Towers along Fourth Ngong Avenue in Nairobi, Kenya. Founded to bridge the gap between health knowledge and public action, the organisation produces authoritative, multimedia content that empowers individuals and communities to make informed health decisions. 
In a bid to ensure sustainable achievement of our mission, Willow Health Media is seeking to engage a reputable audit firm to carry-out the statutory audit for the next two financial years. 

DUTIES AND RESPONSIBILITIES OF THE AUDITOR 

The external auditor shall be required to: 

1. Conduct independent audits ofWillow Health Mediaoperations in line with International Standards on Auditing (ISAs) and International Financial Reporting Standards (IFRS). 
2. Express an opinion on whether the financial statements are prepared, in all material respects, in accordance with the applicable financial reporting standards and frameworks, whether theorganisationhas maintained proper books of accounts, and whether the accompanying financial statements give a true and fair view of the financial position and performance of the organisation. 
3. Review and evaluate internal control systems andadvisethe Willow Health Media management on adequacy/effectiveness of the system and make proposals for improvement. 
4. Assessutilisationof resources for effectiveness, efficiency and economy as well as identification of opportunities for improvement. 
5. Ensure theorganisationadheres to governance requirements and legislation that govern the organisation. 
6. Provide any other value-addition services as approved by theWillow Health Media Management.

DELIVERABLES 

The key deliverables will be: 

1. Audited financial statements indicating if accounting standards have been applied and whether they reflect a true and fair view of the financial position of the organisation. 
2. Management letter where matters that are not material to the financial statements, but which the auditors wish to communicate toWillow Health Mediamay be reflected for management action. 
3. Evaluate and advise on theorganisation’scorporate governance practices. 

REQUIRED PROFILE OF THE AUDIT FIRM 

Bidding firms will be required to meet the following criteria: 

1. Be registered with the Institute of Certified Public Accountants of Kenya (ICPAK) and in good standing.  
2. Must hold a current Practicing Certificate. 
3. Should have been in operation for a period of at least five years. 
4. Should demonstrate that it has the capacity, capability and experience required to undertake the audit within required timelines. 
5. Provide references for similar audits performed within the last three years (From 2022 and above). 
6. Provide audit methodology, proposed work-plan, CVs for the partner, manager and key staff proposed for the audit team. 

REQUEST FOR PROPOSAL SUBMISSION 

Firms meeting the above criteria are requested to submit their proposals through email as follows: 

1. Technical Proposal 

This proposal shall contain:  

a) Confirmation of the firm’s understanding of the Terms of Reference (TORs) and its capacity and capability to deliver on the TORs;

b) Themethodology, work-plan and timelines for undertaking and completing the assignment, and the deliverables;

c) Appropriate references todemonstratethe experience specified in the TOR; 

d) The CVs of key staff proposed to carry out the assignment.
2. Financial Proposal
This should indicate the proposed fees for a regular audit and any incidental expenses. 

3. Other Requirements
   a) Proof of registration with ICPAK and copies of partners’ Practicing Certificates.
   b) Details of at least three (3) prior audit assignments (within the last 3 years), including the contact details of the references.
